These Terms & Conditions (“Terms”) govern your access to and use of our website [www.power9.in] (the “Website”), including any content, functionality, products, and services offered on or through the Website. By accessing, browsing, or using this Website, or by placing an order or enquiry through it, you (“User”, “you”, “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Website.

• “Products” means EV chargers (AC and DC), spare parts, accessories, and any other goods offered by the Company through the Website.

• “Services” means installation, commissioning, maintenance, software, charging-management, consultancy, or other services offered by the Company.

• “Content” means all text, graphics, images, logos, datasheets, brochures, specifications, software, and other material available on the Website.

• “Order” means a request placed by a User for the purchase of Products or Services through the Website or pursuant to an enquiry made through the Website.

3. Eligibility

Use of this Website is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. By using the Website, you represent that you are at least 18 years of age and legally competent to enter into a contract. If you are using the Website on behalf of a company, firm, or other entity, you represent that you are authorized to bind that entity to these Terms.

5.4 Prices displayed on the Website, if any, are indicative, exclusive of applicable taxes (including GST), freight, insurance, installation, and statutory levies unless expressly stated otherwise. The Company reserves the right to revise prices at any time without prior notice. The price applicable to an Order shall be the price confirmed in the Company’s quotation, proforma invoice, or order confirmation.

5.5 Typographical or system errors in pricing or specifications do not bind the Company, and the Company reserves the right to cancel any Order arising from such errors, with a full refund of any amount paid.

6. Orders, Quotations & Payment

6.1 An enquiry or Order placed through the Website constitutes an offer by you to purchase the Products or Services. No Order shall be binding on the Company until expressly accepted by the Company in writing (by order confirmation, proforma invoice, or equivalent).

6.2 Payment terms (advance, milestone, or credit terms) shall be as specified in the quotation, proforma invoice, or purchase agreement. Unless otherwise agreed, Orders are processed only after receipt of the agreed advance payment.

6.3 All payments shall be made in Indian Rupees (INR) unless otherwise agreed, through the payment methods notified by the Company. You agree to provide accurate billing information, including GSTIN where applicable.

6.4 Title to the Products shall pass to the buyer only upon receipt of full payment. Risk in the Products shall pass as per the agreed Incoterms/delivery terms stated in the order confirmation.

7. Shipping, Delivery & Installation

7.1 Delivery timelines communicated by the Company are estimates made in good faith and are not of the essence of the contract. The Company shall not be liable for delays caused by transporters, customs, statutory approvals, or events beyond its reasonable control.

7.2 Where installation and commissioning are included, the buyer shall, at its own cost, ensure site readiness, including civil works, electrical supply of the required capacity, earthing, connectivity, statutory permissions, and safe access, as per the Company’s site-requirement guidelines. Delays or costs arising from site non-readiness shall be to the buyer’s account.

7.3  The buyer shall inspect Products on delivery and notify the Company in writing of any transit damage or shortage within 24 hours of delivery, failing which the Products shall be deemed delivered in good order.

8. Warranty

8.1 Products are covered by the Company’s standard limited warranty as stated in the applicable product datasheet, warranty card, or purchase agreement (the “Warranty Policy”). Unless otherwise stated, the standard warranty period is [12/24/36] months from the date of [invoice/commissioning], whichever is earlier.

8.2 The warranty covers defects in materials and workmanship under normal use and does not cover, without limitation: damage due to improper installation by unauthorized persons, unstable or non-compliant power supply, inadequate earthing, lightning, flood, fire, or other force majeure events; physical damage, vandalism, or misuse; unauthorized repair, modification, or use of non-genuine parts; consumables and normal wear and tear; or software or network issues attributable to third parties.

8.3 The Company’s obligation under warranty is limited, at its option, to repair or replacement of the defective part or Product. Warranty service does not extend the original warranty period except as required by law.

8.4 Except as expressly stated, and to the maximum extent permitted by law, all other warranties, conditions, and representations, whether express or implied, statutory or otherwise, including implied warranties of merchantability and fitness for a particular purpose, are excluded.

9. Cancellations, Returns & Refunds

9.1 Orders for Products that are manufactured, configured, or procured to the buyer’s specifications cannot be cancelled once accepted by the Company, except with the Company’s written consent and subject to cancellation charges.

9.2 Returns are accepted only for Products delivered in a damaged or defective condition, notified within the period stated in Clause 7.3, and subject to verification by the Company.

9.3 Approved refunds shall be processed to the original payment method within [15/30] days of approval. Advance payments for cancelled Orders shall be refunded after deduction of costs already incurred and applicable cancellation charges.

10. Intellectual Property

10.1 All Content on the Website, and all intellectual property rights in the Products, including the names “Power9” and “Global Futuretech Private Limited”, logos, designs, product drawings, firmware, and software, are owned by or licensed to the Company.

10.2 You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Website and Content for legitimate business or personal evaluation purposes only. No Content may be copied, reproduced, republished, distributed, or used for any commercial purpose without the Company’s prior written consent.

10.3 Any unauthorized use of the Company’s trademarks, trade dress, or Content shall entitle the Company to seek injunctive and other legal remedies.

11. User Submissions & Enquiries

17. Force Majeure

19. Governing Law & Jurisdiction

These Terms, and any dispute arising out of or in connection with the Website or any Order, shall be governed by the laws of India. Subject to Clause 20, the courts at Silvassa, UT of Dadra & Nagar Haveli and Daman & Diu, India shall have exclusive jurisdiction.

20. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably. Failing amicable resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [Silvassa/Mumbai], and proceedings shall be conducted in English.

21. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. The Company’s failure to enforce any right or provision shall not constitute a waiver of that right or provision.

22. Entire Agreement

These Terms, together with the Privacy Policy and any order-specific documents (quotation, proforma invoice, purchase agreement, Warranty Policy), constitute the entire agreement between you and the Company regarding the Website and supersede all prior communications. In case of conflict between these Terms and a signed purchase agreement, the signed agreement shall prevail for that transaction.
